【摘要】：外資并購(gòu)也稱跨國(guó)并購(gòu)。自上世紀(jì)90年代以來(lái),全球掀起一股企業(yè)跨國(guó)并購(gòu)的浪潮。在我國(guó),隨著經(jīng)濟(jì)全球化的發(fā)展,尤其是在2001年中國(guó)加入WTO后,跨國(guó)并購(gòu)(外資并購(gòu))逐步取代“綠地投資”(Greenfield Investment)1成為外資在中國(guó)直接投資的主要形式之一。據(jù)創(chuàng)業(yè)投資與私募股權(quán)研究機(jī)構(gòu)清科研究中心最新統(tǒng)計(jì)數(shù)據(jù)顯示,2011年上半年中國(guó)市場(chǎng)共完成外資并購(gòu)共34起,涉及金額28.05億美元。外資并購(gòu)刷新了2008年以來(lái)的記錄。2 外資并購(gòu)在我國(guó)境內(nèi)的急速增長(zhǎng),不僅為我國(guó)經(jīng)濟(jì)發(fā)展帶來(lái)了所急需的資金,還給我國(guó)民族企業(yè)帶來(lái)了技術(shù)和管理經(jīng)驗(yàn)。但跨國(guó)并購(gòu)又如同一柄雙刃劍,也存在著消極一面：跨國(guó)巨頭們利用其資金和技術(shù)優(yōu)勢(shì),通過(guò)直接并購(gòu)我國(guó)企業(yè),從而迅速形成市場(chǎng)壟斷和優(yōu)勢(shì),這就對(duì)我國(guó)企業(yè)和國(guó)家安全敲響了警鐘。作為維護(hù)一國(guó)外資并購(gòu)的安全的手段之一,外資并購(gòu)國(guó)家安全審查制度在歐美發(fā)達(dá)國(guó)家已廣泛采用,對(duì)于今天外資并購(gòu)急劇增多的我國(guó)來(lái)說(shuō)更應(yīng)建立和不斷完善我國(guó)外資并購(gòu)國(guó)家安全審查制度,以維護(hù)我國(guó)的經(jīng)濟(jì)和國(guó)家安全,這也是本文選題的意義所在。 本文除引言和結(jié)論外,正文分為三章。第一章外資并購(gòu)國(guó)家安全審查制度概述部分,重點(diǎn)理清本文主要的基本概念,“外資”、“外資并購(gòu)”和“國(guó)家安全審查”。然后從制度建立的法理基礎(chǔ)、我國(guó)建立國(guó)家安全審查制度的必要性和我國(guó)為東道國(guó)的外資并購(gòu)典型案例三個(gè)方面來(lái)論述我國(guó)建立國(guó)家安全審查制度的理論基礎(chǔ)。第二章通過(guò)比較研究美、德、日三個(gè)市場(chǎng)經(jīng)濟(jì)發(fā)達(dá)國(guó)家的外資并購(gòu)國(guó)家安全審查制度,為我國(guó)建立外資并購(gòu)國(guó)家安全審查制度提供借鑒的樣板。第三章通過(guò)回顧總結(jié)借鑒我國(guó)現(xiàn)有立法不足之處,同時(shí)借鑒美歐主要國(guó)家制度的優(yōu)點(diǎn),為我國(guó)進(jìn)一步構(gòu)建和完善我國(guó)外資并購(gòu)國(guó)家安全審查制度提出自己粗淺的建議和設(shè)想。
[Abstract]:Foreign M & A is also called transnational M & A. Since the 90's of last century, a wave of transnational M & A (M & A) has been launched all over the world. In China, with the development of economic globalization, especially after China's entry into WTO in 2001, transnational M & A (M & A) has gradually replaced "greenfield investment" and Greenfield Investment)1 has become one of the main forms of FDI in China. A total of 34 foreign mergers and acquisitions involving $2.805 billion were completed in the first half of 2011 in China, according to the latest statistics from Qingke Research Center, a venture capital and private equity research firm. Foreign M & A record since 2008 The rapid growth of foreign capital mergers and acquisitions in China has not only brought badly needed funds for the economic development of our country, but also brought technology and management experience to our national enterprises. However, as a double-edged sword, transnational M & A also has a negative side: multinational giants take advantage of their financial and technological advantages, and through direct mergers and acquisitions of Chinese enterprises, they quickly form market monopolies and advantages. This has sounded the alarm bell to our country enterprise and the national security. As one of the means to safeguard the security of foreign capital mergers and acquisitions, the national security review system of foreign capital mergers and acquisitions has been widely used in developed countries in Europe and America. In order to maintain the economy and national security of our country, it is necessary to establish and improve the national security review system of foreign capital mergers and acquisitions, which is the significance of this thesis. In addition to the introduction and conclusions, the text is divided into three chapters. The first chapter is an overview of the national security review system of foreign capital mergers and acquisitions, focusing on clarifying the main basic concepts of this paper, namely, "foreign capital", "foreign capital M & A" and "national security review". Then from the legal basis of the establishment of the system, the necessity of establishing the national security review system in our country and the typical cases of foreign capital merger and acquisition in China as the host country, this paper discusses the theoretical basis of establishing the national security review system in our country. The second chapter is a comparative study of the national security review system of foreign capital M & A in three developed countries with market economy, namely, America, Germany and Japan, which provides a model for our country to establish the national security review system of foreign capital mergers and acquisitions. The third chapter, by reviewing and summing up the shortcomings of our existing legislation, and drawing on the advantages of the major national systems of the United States and Europe, puts forward some suggestions and ideas for our country to further construct and perfect the national security review system of foreign capital mergers and acquisitions.
