【摘要】：能源作為一國經(jīng)濟和社會發(fā)展的重要資源,在經(jīng)濟全球化的背景下,隨著世界經(jīng)濟的發(fā)展、世界人口的劇增和人們生活水平的不斷提高,其需求量也在持續(xù)增大。而隨著各國對能源需求的不斷增加,能源海外投資也在不斷發(fā)展。能源資源在地區(qū)分布上不均衡,各種能源資源的分布相對集中。而一個國家對能源的需求量往往取決于其經(jīng)濟的發(fā)展規(guī)模和發(fā)展速度以及特定經(jīng)濟部門對資源的需求,目前世界各國的經(jīng)濟形勢決定了能源資源產(chǎn)地和能源消費中心之間并不統(tǒng)一。能源資源與能源需求之間的錯位決定了無論從短期還是長期考慮,各國要解決能源問題必須要依靠國際投資。在此背景下,對我國能源海外直接投資問題進行研究是十分必要的。建立政治風(fēng)險法律防范機制對于我國的能源海外投資有著重大的意義。尤其是對于我國目前對外投資法規(guī)不健全,政策不穩(wěn)定的情況下。在已制定的法規(guī)中,適用性不強,管制型法規(guī)過多而服務(wù)型保障型太少,經(jīng)常產(chǎn)生無法可依有法難依、法規(guī)與實際脫節(jié)的現(xiàn)象。而對于能源投資的法律規(guī)制,更是少之又少。由此可見,我國能源海外直接投資風(fēng)險的法律防范體系尚未建立起來,如何充分利用現(xiàn)有的國內(nèi)國際法律手段,防范我國能源海外直接投資的政治風(fēng)險,構(gòu)建中國自已的能源投資風(fēng)險防范體系,用法律手段為我國能源企業(yè)海外投資保駕護航,這已經(jīng)是個現(xiàn)實而緊迫的問題了 研究我國能源海外直接投資的政治風(fēng)險法律防范問題,對于我國相應(yīng)法律制度的建立和完善起到了很大的促進意義,建立一套完善的能源對外投資防范機制對于我國而言,意義十分重大。本文從多邊投資擔(dān)保機構(gòu)、雙邊投資協(xié)定、母國海外投資法律保險體系,總結(jié)出幾項法律防范機制。我國的能源企業(yè)在決定如何防范海外能源投資政治風(fēng)險時應(yīng)當(dāng)對各種防范手段的具體做法與優(yōu)缺點有熟悉的把握,然而,資本輸出大國向海外進行能源方面的投資固然也可以利用上述相應(yīng)的法律手段來防范其投資的政治風(fēng)險,但是他們還有一種比上述手段的防范效果都好的法律制度,那就是海外投資保險制度。這種制度以本國政府為事實上的承保者,以國家主權(quán)為后盾,往往與雙邊投資保證協(xié)定相互配合,通常只對本國的海外投資者開放,使其具有強大的,上述手段所不能比擬的防范效果。因此,鑒于目前我國海外投資尤其是能源的海外直接投資發(fā)展勢頭迅猛,而海外投資保護法制又十分不完善,我國的能源投資者缺乏足夠的投資安全感,所以,制定我國的官方海外投資保險法律,設(shè)立海外投資保險機構(gòu),尤其是加強對于能源方面的規(guī)制規(guī)范和保護,已是我國對外投資現(xiàn)狀與趨勢的必然要求。 本文從國際投資法的基本原理著手,實證分析了我國以及世界其他國家的能源海外直接投資所面臨的政治風(fēng)險,并提出政治風(fēng)險新的發(fā)展變化；系統(tǒng)研究了我國能源海外直接投資政治風(fēng)險的法律防范,旨在通過法律的構(gòu)建與法制的完善等措施來防范我國海外能源直接投資所面臨的政治風(fēng)險。 文章第一部分的內(nèi)容主要論述了我國能源海外直接投資政治風(fēng)險的基本問題,分析了我國能源海外直接投資的現(xiàn)狀和特點,第二部分系統(tǒng)分析了國際社會防范海外能源直接投資政治風(fēng)險的法律機制及其啟示；第三部分系統(tǒng)、實證分析了我國能源海外直接投資政治風(fēng)險法律防范存在的缺陷。第四部分是本文的重中之重,從法律構(gòu)建和法制完善的視角來防范能源投資所面臨的政治風(fēng)險,具體可以從以下兩個方向分析： 一是通過完善國內(nèi)法防范我國能源海外直接投資政治風(fēng)險,從自身的法律改進入手,步步為營,層層防范。具體措施有：1.完善我國海外投資法律體系,明確并合理引導(dǎo)能源企業(yè)的投資方向,2.盡快構(gòu)建我國海外投資保險制度,3.創(chuàng)立完善有關(guān)能源海外投資的專門法律和制度,4.建立能源海外投資政治風(fēng)險評估和預(yù)警機制。 二是有效利用國際法防范我國能源海外直接投資政治風(fēng)險。積極與能源生產(chǎn)大國簽訂雙邊投資保護協(xié)定；利用《多邊投資擔(dān)保機構(gòu)公約》防范能源海外直接投資可能面臨的政治風(fēng)險；利用《解決國家與他國國民間投資爭端公約》解決海外能源投資爭端。
[Abstract]:With the development of the world economy , the increasing of the world ' s population and the increasing of people ' s living standards , the demand of energy resources is still increasing .

It is very important to study the legal protection of foreign direct investment in China , and to set up a perfect system of legal protection against foreign investment in our country .

This paper starts with the basic principle of international investment law , and empirically analyses the political risks faced by China and other countries in the world , and puts forward new development changes of political risk ;
The system has studied the legal protection of China ' s energy overseas direct investment political risk , aiming at preventing the political risk faced by our country ' s overseas energy direct investment through the construction of the law and the perfection of the legal system .

The first part of this article mainly discusses the basic problem of the direct investment political risk of China ' s energy overseas , analyzes the present situation and characteristics of the direct investment in China ' s energy overseas , and the second part analyzes the legal mechanism and the inspiration of the international community ' s prevention of the political risk of foreign direct investment .
The third part is a systematic and empirical analysis of the defects existing in the legal protection of China ' s energy overseas direct investment political risk . The fourth part is the focus of this article . From the perspective of legal construction and legal system improvement , we can prevent the political risk faced by energy investment , and can analyze it from the following two directions :

1 . To improve the legal system of overseas investment in China , to establish and improve the investment direction of energy enterprises as soon as possible , and to establish a special law and system for improving the overseas investment of energy sources , and 4 . Establish the political risk assessment and early warning mechanism of energy overseas investment .

Second , effective use of international law to prevent the direct investment political risk of our country ' s energy overseas .
( b ) Take advantage of the political risks that may be faced by the Multilateral Investment Guarantee Agency ( MIGA ) Convention against the direct investment in energy overseas ;
The dispute between the state and other countries ' civil investment disputes should be solved by means of dispute settlement .
