【摘要】：家族企業(yè)作為民營經(jīng)濟的重要組成部分,已成為我國國民經(jīng)濟發(fā)展的重要驅(qū)動力。但隨著家族企業(yè)生命周期的演進,控制環(huán)境缺陷成為阻礙家族企業(yè)轉(zhuǎn)型的重要原因之一。因此,本文基于控制環(huán)境角度對家族企業(yè)轉(zhuǎn)型進行研究。首先,本文基于控制環(huán)境的重要性和我國家族企業(yè)的轉(zhuǎn)型困境,對文章相關(guān)概念進行了界定,對家族企業(yè)的發(fā)展和特征,以及家族企業(yè)轉(zhuǎn)型的動因和阻礙進行了分析。其次,在COSO控制環(huán)境理論和企業(yè)生命周期理論的基礎(chǔ)上,針對家族企業(yè)轉(zhuǎn)型的主要內(nèi)容及具體途徑,分別分析了家族企業(yè)在組織結(jié)構(gòu)、發(fā)展戰(zhàn)略、人力資源、企業(yè)文化、社會責(zé)任和內(nèi)部審計六個方面的控制環(huán)境因素,并指出家族企業(yè)“初始化——公司化——社會化”的一般轉(zhuǎn)型路徑。再次,通過浙江正泰集團的案例分析,驗證了家族企業(yè)一般轉(zhuǎn)型路徑的可行性。家族企業(yè)成為民營企業(yè)創(chuàng)業(yè)期的理性選擇,具有其獨特優(yōu)勢。而家族企業(yè)公司化和社會化轉(zhuǎn)型的動力來源于企業(yè)通過規(guī)模擴張實現(xiàn)持續(xù)發(fā)展的目的。不同生命周期的關(guān)鍵控制環(huán)境因素不同,家族企業(yè)的轉(zhuǎn)型需經(jīng)過合理規(guī)劃,從而克服控制環(huán)境缺陷問題。最后,結(jié)合研究與案例分析,本文總結(jié)出組織結(jié)構(gòu)轉(zhuǎn)型是基礎(chǔ),發(fā)展戰(zhàn)略轉(zhuǎn)型是方向,人力資源轉(zhuǎn)型是核心競爭力,企業(yè)文化轉(zhuǎn)型營造氛圍,社會責(zé)任轉(zhuǎn)型兼顧利益,內(nèi)部審計轉(zhuǎn)型夯實基石的控制環(huán)境六大因素與家族企業(yè)轉(zhuǎn)型的作用關(guān)系,并啟示轉(zhuǎn)型中的家族企業(yè),應(yīng)當(dāng)樹立企業(yè)家理念創(chuàng)新的意識,正確定位家族企業(yè)轉(zhuǎn)型時機,重視建立控制環(huán)境與家族企業(yè)轉(zhuǎn)型的關(guān)系,在恰當(dāng)?shù)纳�命周期階段進行企業(yè)轉(zhuǎn)型,實現(xiàn)家族企業(yè)長青。
[Abstract]:As an important part of private economy, family business has become an important driving force for the development of our national economy. However, with the evolution of family business life cycle, controlling environmental defects has become one of the important reasons that hinder family business transformation. Therefore, this paper studies the transformation of family firms based on the control environment. First of all, based on the importance of the control environment and the difficulties of family business transformation in China, this paper defines the related concepts of the article, analyzes the development and characteristics of the family business, as well as the causes and obstacles of the family business transformation. Secondly, on the basis of COSO control environment theory and enterprise life cycle theory, aiming at the main contents and specific ways of family business transformation, this paper analyzes the organizational structure, development strategy, human resources, corporate culture of family business, respectively. Social responsibility and internal audit control environmental factors, and pointed out the family business "initialization-corporatization-socialization" of the general transformation path. Thirdly, through the case study of Zhejiang Zhengtai Group, it verifies the feasibility of the general transition path of family business. The family business becomes the rational choice of the private enterprise, and has its unique advantage. The motive force of the corporatization and socialized transformation of the family firm comes from the sustainable development of the enterprise through the expansion of scale. The key controlling environmental factors of different life cycles are different. The transition of family enterprises needs to be rationally planned to overcome the defects of control environment. Finally, combined with research and case analysis, this paper concludes that organizational structure transformation is the basis, development strategy transformation is the direction, human resources transformation is the core competitiveness, corporate culture transformation creates atmosphere, social responsibility transformation takes account of interests. The relationship between the six factors of internal audit transformation and the function of family business transformation, and the enlightenment of family business in transition, should set up the consciousness of innovation of entrepreneur idea, and correctly locate the opportunity of family business transformation. Attention should be paid to the establishment of the relationship between the control environment and the transformation of the family business, and the transformation of the enterprise should be carried out at the appropriate stage of the life cycle to realize the evergreen of the family business.
