華菱鋼鐵并購FMG項(xiàng)目貸款風(fēng)險(xiǎn)管理研究

【摘要】:隨著“走出去”戰(zhàn)略的深入執(zhí)行,部分國(guó)內(nèi)企業(yè)開始參與國(guó)際市場(chǎng)的并購,并借助銀行的信貸支持來完成并購業(yè)務(wù)。銀行在發(fā)展海外并購貸款業(yè)務(wù)的同時(shí),也面臨不少風(fēng)險(xiǎn),本文以湖南進(jìn)出口銀行對(duì)華菱鋼鐵并購FMG項(xiàng)目的并購貸款為研究對(duì)象,對(duì)其風(fēng)險(xiǎn)管理進(jìn)行了研究。 本文首先闡明了研究的相關(guān)背景,并對(duì)相關(guān)理論與文獻(xiàn)進(jìn)行了綜述,然后對(duì)華菱鋼鐵并購FMG項(xiàng)目進(jìn)行概述,并從政治及法律風(fēng)險(xiǎn)、經(jīng)濟(jì)及財(cái)務(wù)風(fēng)險(xiǎn)、整合及經(jīng)營(yíng)風(fēng)險(xiǎn)、以及資源和技術(shù)風(fēng)險(xiǎn)等方面對(duì)華菱鋼鐵并購FMG項(xiàng)目貸款的風(fēng)險(xiǎn)進(jìn)行識(shí)別;其后,運(yùn)用層次分析法與模糊綜合評(píng)價(jià)方法對(duì)華菱鋼鐵并購FMG項(xiàng)目貸款的風(fēng)險(xiǎn)進(jìn)行了評(píng)估,其中經(jīng)濟(jì)及財(cái)務(wù)風(fēng)險(xiǎn)、整合及經(jīng)營(yíng)風(fēng)險(xiǎn)相對(duì)較大,整體評(píng)估結(jié)果表明風(fēng)險(xiǎn)相對(duì)可控,但潛在的風(fēng)險(xiǎn)點(diǎn)需要加強(qiáng)風(fēng)險(xiǎn)控制;最后針對(duì)華菱鋼鐵并購FMG項(xiàng)目貸款的風(fēng)險(xiǎn),提出合理確定貸款模式、交易結(jié)構(gòu)、貸款幣種以及加強(qiáng)并購協(xié)議管理等從貸中風(fēng)險(xiǎn)管理對(duì)策以及建立銀行內(nèi)控機(jī)制、加強(qiáng)貸后檢查、完善貸后風(fēng)險(xiǎn)預(yù)警信號(hào)、推進(jìn)貸款風(fēng)險(xiǎn)的轉(zhuǎn)移及以及推進(jìn)企業(yè)整合等貸后風(fēng)險(xiǎn)管理對(duì)策;并提出了為保障風(fēng)險(xiǎn)管理對(duì)策成功發(fā)揮湖南進(jìn)出口銀行應(yīng)采取的相關(guān)措施。 本文按照風(fēng)險(xiǎn)管理的流程,對(duì)華菱鋼鐵并購貸款的風(fēng)險(xiǎn)管理進(jìn)行了研究。在理論層面上,對(duì)風(fēng)險(xiǎn)類型進(jìn)行有效識(shí)別,設(shè)計(jì)相應(yīng)的風(fēng)險(xiǎn)控制方法,為相關(guān)企業(yè)和銀行進(jìn)行海外并購提供一定的理論指導(dǎo)。在實(shí)踐層面上,通過利用風(fēng)險(xiǎn)識(shí)別、風(fēng)險(xiǎn)評(píng)價(jià)以及風(fēng)險(xiǎn)控制的方法為湖南進(jìn)出口銀行海外并購貸款業(yè)務(wù)的開展提供了決策支持,增強(qiáng)了并購企業(yè)的核心競(jìng)爭(zhēng)力。
[Abstract]:With the further implementation of the "going out" strategy, some domestic enterprises begin to participate in the M & A in the international market and complete the M & A business with the credit support of the banks. Banks are facing a lot of risks while developing overseas M & A loan business. This paper studies the risk management of Hunan Export-Import Bank on the M & A loan of Valin Iron & Steel M & A (FMG) project. This paper first expounds the relevant background of the research, and summarizes the relevant theories and literature, then summarizes the FMG project of Valin Iron & Steel merger, and summarizes the political and legal risks, economic and financial risks, integration and operational risks. In addition, the paper identifies the risk of Valin M & A FMG project loan in terms of resource and technical risk, and then evaluates the risk of Valin iron and steel M & A FMG project loan by using AHP and fuzzy comprehensive evaluation method. Among them, the economic and financial risk, integration and management risk is relatively large, the overall evaluation results show that the risk is relatively controllable, but the potential risk points need to strengthen risk control. The paper puts forward some countermeasures of risk management, such as reasonable loan mode, transaction structure, loan currency and strengthening management of merger and acquisition agreement, as well as establishing internal control mechanism of bank, strengthening post-loan inspection, perfecting warning signal of post-loan risk, etc. The countermeasures of risk management after loan, such as the transfer of loan risk and the promotion of enterprise integration, are put forward, and the relevant measures that should be taken by Hunan Export-Import Bank to ensure the success of risk management are put forward. According to the process of risk management, this paper studies the risk management of Valin's M & A loan. On the theoretical level, the risk types are identified effectively, and the corresponding risk control methods are designed to provide some theoretical guidance for overseas mergers and acquisitions of related enterprises and banks. In practice, the methods of risk identification, risk evaluation and risk control provide decision support for the overseas M & A loan business of Hunan Export-Import Bank, and enhance the core competitiveness of M & A enterprises.
