【摘要】：本文首先分析了我國(guó)國(guó)企改革的歷史與現(xiàn)實(shí)背景,指出國(guó)企改革是在全球一體化經(jīng)濟(jì)發(fā)展的大背景下所進(jìn)行的經(jīng)濟(jì)體制深層次變革,認(rèn)為國(guó)企改革面臨嚴(yán)峻形勢(shì)和挑戰(zhàn),至今仍存在諸多理論缺失及現(xiàn)實(shí)問(wèn)題。 本文的核心部分在理論與實(shí)踐相結(jié)合的基礎(chǔ)上,通過(guò)實(shí)例分析與研究揭示了國(guó)企改革的深層次矛盾是企業(yè)的核心價(jià)值觀、經(jīng)營(yíng)理念、管理制度的建立與創(chuàng)新,其核心與難點(diǎn)是企業(yè)組織慣例的打破與重構(gòu)。國(guó)企改制是一場(chǎng)國(guó)家經(jīng)濟(jì)體制的深刻革命,國(guó)企改制的目標(biāo)是要建立起企業(yè)自身的核心競(jìng)爭(zhēng)力,形成新的經(jīng)營(yíng)運(yùn)作模式,適應(yīng)國(guó)際國(guó)內(nèi)的快速與深刻變化的環(huán)境與形勢(shì),在市場(chǎng)競(jìng)爭(zhēng)中占得先機(jī),贏得企業(yè)運(yùn)營(yíng)的良好績(jī)效和健康發(fā)展,充分顯現(xiàn)其在國(guó)民經(jīng)濟(jì)中的主體地位及功能。國(guó)企只有不斷在市場(chǎng)競(jìng)爭(zhēng)中獲取持續(xù)發(fā)展的競(jìng)爭(zhēng)優(yōu)勢(shì),才能體現(xiàn)其在國(guó)民經(jīng)濟(jì)與社會(huì)發(fā)展中功能和作用,而這正是國(guó)企要通過(guò)完成改制實(shí)現(xiàn)的終極目標(biāo)。本文通過(guò)對(duì)A公司重組改制的實(shí)例探討,找到了一個(gè)將企業(yè)改制理論貫徹到改制實(shí)踐并不斷修正理論、推進(jìn)改制進(jìn)程的最佳切入點(diǎn)。文章從我國(guó)當(dāng)前能源行業(yè)發(fā)展的實(shí)際出發(fā),論述了充滿活力的天然氣能源市場(chǎng)健康發(fā)展的源動(dòng)力所在及保障機(jī)制的形成基礎(chǔ)。面對(duì)天然氣能源行業(yè)發(fā)展的千載難逢的機(jī)遇,如何在當(dāng)前充滿挑戰(zhàn)的選擇路口,既確保國(guó)家對(duì)天然氣能源命脈的掌控,又不失經(jīng)濟(jì)發(fā)展的活力與動(dòng)力,是當(dāng)前能源行業(yè)國(guó)企改制的嚴(yán)峻挑戰(zhàn)。 在具體操作層面,通過(guò)對(duì)A公司的改制分析,本文闡明了改制操作的三個(gè)基本原則:一是要實(shí)現(xiàn)國(guó)企改制發(fā)展的市場(chǎng)競(jìng)爭(zhēng)選擇;二是要保證國(guó)企改制的社會(huì)監(jiān)督到位;三是要保障國(guó)企改制中各方股東權(quán)益的實(shí)現(xiàn)。上述三個(gè)基本原則構(gòu)成了國(guó)企新機(jī)制建立并有效運(yùn)行發(fā)揮功能的基礎(chǔ),是從根本上影響和制約著國(guó)企核心競(jìng)爭(zhēng)力建立的關(guān)鍵,是判斷國(guó)企改制成敗的關(guān)鍵。
[Abstract]:This paper first analyzes the historical and realistic background of the state-owned enterprise reform in China, and points out that the state-owned enterprise reform is a deep-seated reform of the economic system under the background of the global integrated economic development. It is pointed out that the reform of state-owned enterprises is faced with severe situation and challenges, and there are still many theoretical deficiencies and practical problems. Based on the combination of theory and practice, the core part of this paper reveals that the deep-seated contradiction of state-owned enterprise reform is the establishment and innovation of enterprise's core value, management idea, management system. The core and difficulty of the reform is the breaking and reconstructing of the organizational convention of the enterprise. The reform of the state-owned enterprise is a profound revolution of the national economic system, and the goal of the reform of the state-owned enterprise is to establish the core competitiveness of the enterprise itself. Form a new mode of operation, adapt to the rapid and profound changes in the international and domestic environment and situation, in the market competition, to win good performance and healthy development of business operations. The main position and function of the state-owned enterprises in the national economy are fully manifested. Only when the state-owned enterprises acquire the competitive advantage of sustained development in the market competition, can they embody their functions and functions in the national economy and social development. This is the ultimate goal of the state-owned enterprises through the completion of restructuring. This article through the restructuring of A company to explore the case study, found a corporate restructuring theory to carry out the reform practice and constantly revise the theory. The article starts from the reality of the current energy industry development in China. This paper discusses the source power of the healthy development of the energetic natural gas energy market and the forming foundation of the guarantee mechanism, and the once-in-a-lifetime opportunity for the development of the natural gas energy industry. How to make sure that the state can control the lifeblood of natural gas and not lose the vitality and power of economic development in the current challenging road is a severe challenge to the reform of state-owned enterprises in the energy industry. At the specific operation level, through the analysis of the restructuring of company A, this paper clarifies three basic principles of the restructuring operation: first, to realize the choice of market competition for the development of state-owned enterprises reform; The second is to ensure that the social supervision of the reform of state-owned enterprises is in place; The above three basic principles constitute the basis for the establishment and effective functioning of the new mechanism of state-owned enterprises. It is the key to influence and restrict the establishment of the core competence of the state-owned enterprises, and the key to judge the success or failure of the reform of the state-owned enterprises.
