【摘要】：本文對(duì)重要股東減持對(duì)創(chuàng)業(yè)板公司股價(jià)的影響進(jìn)行了實(shí)證研究，通過數(shù)據(jù)分析得出結(jié)論：重要股東的減持會(huì)對(duì)股價(jià)產(chǎn)生負(fù)面影響，其中市場因素、是否高管本人減持、減持方式、市盈率、減持股份變動(dòng)部分市值金額和占總股本比例的對(duì)股價(jià)產(chǎn)生顯著影響；而且短期內(nèi)市場因素還是影響股價(jià)的最重要因素；但是減持的重要股東中實(shí)際控制人和核心技術(shù)團(tuán)隊(duì)人員比例很少，，創(chuàng)業(yè)板實(shí)際減持規(guī)模不大。 最后，提出對(duì)政策制定者優(yōu)化我國創(chuàng)業(yè)板上市公司管理制度的建議，加強(qiáng)信息披露力度和保護(hù)廣大中小投資者的利益力度。建議實(shí)行提前7-15天預(yù)先登記并公告后再減持制度；鼓勵(lì)重要股東，尤其是實(shí)際控制人和核心技術(shù)人員延長限售股鎖定期，提升股票投資價(jià)值；并完善創(chuàng)業(yè)板限售股減持規(guī)定。
[Abstract]:This paper makes an empirical study on the impact of significant shareholder reduction on the share price of gem, and draws a conclusion through data analysis: the reduction of significant shareholders will have a negative impact on the share price, among which market factors. Whether the senior executives themselves reduce their holdings, the way they reduce their holdings, the price-earnings ratio, the amount of market value and the proportion of the total share capital have a significant impact on the stock price; And the market factor is the most important factor that affects the stock price in the short term. But the proportion of actual controller and core technical team is small among the important shareholders, and the scale of gem is not large. Finally, the paper puts forward some suggestions to the policy makers to optimize the management system of listed companies on the gem. Strengthen information disclosure and protect the interests of the majority of small and medium-sized investors. Encourage major shareholders, especially actual controllers and core technicians, to extend the lock-up period and increase the value of stock investment; And improve the gem restrictions on the sale of shares reduction provisions.
