【摘要】： 第三人清償制度突破了債之特定當(dāng)事人之間的關(guān)系,有其自身的價(jià)值,得到了各國法律的承認(rèn),但對其規(guī)范又各有所不同。應(yīng)在比較各國的第三人清償制度和區(qū)分債法中涉及的其它第三人相關(guān)制度的基礎(chǔ)上對我國的第三人清償制度予以完善,以適應(yīng)經(jīng)濟(jì)發(fā)展的需要。第三人清償一般可分為一般第三人清償和代位清償,二者的有效要件有所不同,法律性質(zhì)和效力也各有不同。一般第三人清償,第三人有效清償后一般會獲得對債務(wù)人的求償權(quán)。而代位清償中,則第三人在求償權(quán)之外還會獲得代位權(quán),即代位債權(quán)人對債務(wù)人行使債權(quán),以確保第三人的求償權(quán)的實(shí)現(xiàn)。第三人承諾清償也是現(xiàn)實(shí)生活的常有的一種現(xiàn)象,對其法律性質(zhì)和效力的認(rèn)定關(guān)系到對這種現(xiàn)象的合理有效的調(diào)整。對第三人清償制度的完善應(yīng)當(dāng)正確區(qū)分第三人清償制度與相關(guān)制度所調(diào)整的不同內(nèi)容和具有的不同功能。而我國現(xiàn)有的第三人清償制度零散、混亂,并存在與其它的制度相混淆的現(xiàn)象,不能適應(yīng)現(xiàn)實(shí)生活的需要。需要在我國未來的民法典中對其加以重新的設(shè)計(jì),以使其系統(tǒng)化、規(guī)范化,并能和其它相關(guān)制度有效銜接。
